This document is intended for onboarding third-party marketplace vendors selling products directly on the EX-STOCK Canada marketplace platform.
This Agreement establishes operational standards, legal protections, supplier responsibilities, fulfillment requirements, customer protection policies, intellectual property standards, and marketplace compliance obligations.

By accepting this Agreement, the Vendor agrees to comply with all terms, standards, policies, and operational requirements established by EX-STOCK Canada.
1.1 EX-STOCK Canada operates a trusted e-commerce marketplace platform allowing approved third-party vendors to list and sell products to customers.
1.2 The Vendor wishes to list and sell approved products through the EX-STOCK Canada marketplace.
1.3 This Agreement establishes the operational, financial, legal, and compliance responsibilities between the parties.
2.1 All vendors are subject to approval by EX-STOCK Canada.
2.2 EX-STOCK Canada reserves the right to:
approve or reject any vendor application,
suspend or terminate vendor access,
remove products,
restrict categories,
request additional verification documentation.
2.3 The Vendor agrees to provide accurate business information, including but not limited to:
legal business registration,
tax information,
product sourcing details,
fulfillment information,
contact details.
2.4 The Vendor agrees that providing false or misleading information may result in immediate termination.
No monthly subscription fee.
Marketplace commission: 12% per completed order.
Payment processing recovery fee: 3.5%.
Monthly subscription fee: CAD $29.
Marketplace commission: 9% per completed order.
Payment processing recovery fee: 3.5%.
3.1 All fees may be updated by EX-STOCK Canada with prior notice.
3.2 Commissions are calculated from the total order amount including shipping charges.
3.3 EX-STOCK Canada reserves the right to withhold payouts in cases involving:
fraud investigations,
chargebacks,
disputes,
policy violations,
unresolved customer claims.
3.4 Vendors are responsible for all taxes applicable to their business operations.
4.1 Vendors may only list products approved by EX-STOCK Canada.
4.2 Vendors agree that all listings must:
contain accurate information,
include truthful descriptions,
include accurate images,
comply with Canadian consumer laws,
comply with intellectual property laws.
4.3 EX-STOCK Canada reserves the right to edit, optimize, or remove listings for:
SEO purposes,
customer experience,
marketplace consistency,
policy compliance.
4.4 Vendors may not upload:
counterfeit products,
illegal products,
dangerous products,
prohibited items,
misleading listings,
copyrighted content without authorization.
4.5 Vendors remain fully responsible for the legality and authenticity of all products listed.
5.1 Vendors are responsible for fulfilling all orders in a timely and professional manner.
5.2 Vendors must ship orders within the handling time displayed on the product listing.
5.3 Vendors must provide valid tracking information for all shipments.
5.4 Vendors are responsible for:
packaging,
shipping quality,
delivery accuracy,
transportation damages,
shipment delays caused by vendor operations.
5.5 EX-STOCK Canada reserves the right to monitor vendor fulfillment performance.
5.6 Vendors with excessive:
delays,
cancellations,
disputes,
negative customer feedback,
may face penalties, suspension, or removal.
6.1 Vendors agree to comply with EX-STOCK Canada's return and refund policies.
6.2 Vendors acknowledge that EX-STOCK Canada prioritizes customer trust and may issue refunds, credits, or resolutions when necessary.
6.3 Vendors may be financially responsible for:
defective products,
inaccurate listings,
shipping failures,
customer disputes,
chargebacks caused by vendor actions.
6.4 Vendors agree to respond to customer support requests within 48 hours.
6.5 Failure to cooperate in dispute resolution may result in payout holds or account suspension.
7.1 Vendors must maintain professional marketplace standards.
7.2 EX-STOCK Canada may evaluate:
shipping speed,
cancellation rate,
customer satisfaction,
return rate,
response time,
product quality,
compliance history.
7.3 EX-STOCK Canada reserves the right to downgrade, suspend, or terminate vendor status based on performance.
8.1 Verified Vendor status may include:
lower commission rates,
verified badge display,
increased visibility,
promotional opportunities,
priority support,
future access to advanced marketplace features.
8.2 Verified Vendor status may be revoked if the Vendor fails to maintain marketplace standards.
9.1 Vendors grant EX-STOCK Canada the right to:
display product listings,
use product images,
use trademarks,
optimize content,
market products across EX-STOCK channels.
9.2 Vendors confirm they own or are authorized to use all uploaded content.
9.3 Vendors agree to indemnify EX-STOCK Canada against any intellectual property claims resulting from vendor content or products.
10.1 Both parties agree to maintain confidentiality regarding:
operational information,
pricing agreements,
customer information,
business strategies,
marketplace data.
10.2 Vendors may not share confidential information obtained through EX-STOCK Canada.
11.1 Vendors agree to comply with applicable privacy and data protection laws.
11.2 Vendors may only use customer information for order fulfillment and approved customer service purposes.
11.3 Vendors may not:
sell customer data,
misuse customer information,
contact customers outside approved marketplace processes.
Vendors may not:
manipulate reviews,
engage in fraud,
bypass marketplace systems,
redirect customers outside EX-STOCK,
misuse marketplace data,
violate laws or regulations,
damage the reputation of EX-STOCK Canada.
13.1 EX-STOCK Canada may suspend or terminate vendor accounts at its discretion for:
policy violations,
fraud concerns,
poor performance,
customer complaints,
legal risks,
reputational risks.
13.2 Either party may terminate this Agreement with 30 days written notice.
13.3 EX-STOCK Canada reserves the right to immediately terminate this Agreement in serious violation cases.
14.1 EX-STOCK Canada shall not be liable for indirect, incidental, or consequential damages arising from marketplace operations.
14.2 EX-STOCK Canada does not guarantee sales volume, traffic levels, or marketplace performance.
14.3 Vendors acknowledge that marketplace operations may involve technical interruptions, platform updates, or third-party service disruptions.
15.1 Vendors agree to indemnify and hold harmless EX-STOCK Canada from claims arising from:
vendor products,
fulfillment failures,
intellectual property violations,
regulatory violations,
customer claims caused by vendor actions.
16.1 Neither party shall be liable for delays or failures caused by events beyond reasonable control, including:
natural disasters,
government actions,
shipping disruptions,
pandemics,
cyberattacks,
labor disputes.
17.1 This Agreement shall be governed by the laws of Ontario, Canada.
17.2 Any disputes arising under this Agreement shall be subject to the jurisdiction of the courts of Ontario, Canada.
18.1 EX-STOCK Canada reserves the right to update marketplace policies and operational requirements.
18.2 Continued use of the marketplace following updates constitutes acceptance of revised terms.
19.1 This Agreement represents the complete understanding between the parties and supersedes prior agreements or understandings.
20.1 Vendors may be required to maintain valid commercial liability insurance depending on category risk, product type, or sales volume.
20.2 EX-STOCK Canada reserves the right to request proof of insurance at any time.
20.3 Vendors remain fully responsible for product safety, compliance, recalls, damages, or claims resulting from their products.
21.1 Vendors confirm that all products comply with applicable Canadian laws, regulations, and safety standards.
21.2 Vendors agree not to list products that:
violate Canadian law,
infringe intellectual property rights,
create unreasonable safety risks,
violate import/export restrictions,
contain misleading claims.
21.3 EX-STOCK Canada reserves the right to immediately remove any product considered unsafe, misleading, or non-compliant.
21.4 Vendors are responsible for all product certifications, testing, labeling, and legal approvals required for their products.
22.1 Vendors acknowledge that chargebacks may occur during marketplace operations.
22.2 Vendors may be financially responsible for chargebacks caused by:
non-delivery,
counterfeit products,
misleading listings,
damaged products,
vendor fulfillment failures,
unauthorized transactions connected to vendor negligence.
22.3 EX-STOCK Canada reserves the right to deduct chargeback-related losses, penalties, and associated costs from vendor payouts.
22.4 Vendors agree to cooperate fully in fraud investigations and payment disputes.
23.1 Vendors acknowledge that EX-STOCK Canada may optimize listings for:
search engine visibility,
conversion optimization,
marketplace consistency,
customer experience.
23.2 EX-STOCK Canada may:
rewrite titles,
edit descriptions,
compress or optimize images,
improve metadata,
organize collections,
create promotional content.
23.3 Vendors retain ownership of original intellectual property while granting EX-STOCK Canada a non-exclusive right to use and optimize content for marketplace operations.
24.1 Vendors authorize EX-STOCK Canada to promote products across:
website campaigns,
email marketing,
social media,
paid advertising,
influencer campaigns,
AI-powered recommendations,
future marketplace technologies.
24.2 Promotional placement is determined solely by EX-STOCK Canada.
24.3 EX-STOCK Canada does not guarantee promotional placement or minimum sales performance.
25.1 EX-STOCK Canada may operate a Verified Vendor Program.
25.2 Verified status may include:
reduced commission,
verified badges,
increased visibility,
marketing opportunities,
priority onboarding,
enhanced support,
access to advanced marketplace tools.
25.3 Verified Vendor status may be revoked if performance standards are not maintained.
26.1 Vendors agree to maintain professional operational standards.
26.2 Vendors are expected to:
maintain accurate inventory,
avoid excessive cancellations,
maintain reasonable response times,
provide professional customer support,
fulfill orders within stated timelines.
26.3 Vendors with repeated operational failures may face:
payout holds,
reduced visibility,
suspension,
termination.
27.1 EX-STOCK Canada may update marketplace systems, policies, integrations, and operational workflows at any time.
27.2 Vendors acknowledge that temporary technical interruptions may occur.
27.3 EX-STOCK Canada shall not be liable for losses caused by:
system outages,
third-party service interruptions,
payment processor failures,
shipping carrier issues,
cyber incidents beyond reasonable control.
28.1 Vendors may not attempt to redirect EX-STOCK customers outside the marketplace for direct transactions.
28.2 Vendors may not use marketplace customer data for unauthorized external marketing.
28.3 Violations may result in immediate account termination.
29.1 EX-STOCK Canada reserves the right to request supporting information related to:
inventory,
fulfillment,
product authenticity,
compliance documentation,
shipping performance.
29.2 Vendors agree to cooperate reasonably with marketplace verification processes.
30.1 Neither party shall be held liable for delays or failures caused by events beyond reasonable control, including:
natural disasters,
government actions,
labor disputes,
pandemics,
war,
cyberattacks,
transportation disruptions.
31.1 The parties agree to attempt good-faith resolution before pursuing legal action.
31.2 EX-STOCK Canada reserves the right to make temporary operational decisions necessary to protect customers, the marketplace, or marketplace reputation during active disputes.
32.1 Vendors agree that notices, updates, approvals, and marketplace communications may be delivered electronically.
32.2 Vendors are responsible for maintaining current contact information.
20.1 By signing electronically or clicking acceptance during onboarding, the Vendor confirms:

they agree to all marketplace terms and conditions.
